Role Overview

We are seeking a qualified Company Secretary with 5–7 years of post-qualification experience to support corporate governance, regulatory compliance, and secretarial functions, particularly for a listed entity environment.

Key Responsibilities

1. Listing Compliance & SEBI Filings

  • Prepare and file periodic and event-based disclosures with stock exchanges (e.g., outcome of Board meetings, quarterly/annual results, shareholding pattern, corporate governance reports)
  • Ensure timely compliance with all listing obligations and disclosure requirements
  • Prepare responses to stock exchanges for clarifications and submissions, if any

2. Board & Committee Management

  • Prepare notices, agendas, and notes for Board and Committee meetings
  • Draft minutes and ensure proper recording of proceedings and action points
  • Track action items and follow up with internal stakeholders for closure
  • Assist in annual calendar planning for Board and Committee meetings

3. Statutory Compliance (Companies Act, 2013)

  • Prepare and file e-forms with MCA (e.g., DIR, MGT, AOC forms)
  • Maintain statutory registers, minutes books, and corporate records
  • Support conduct of Annual General Meetings and Extraordinary General Meetings
  • Draft resolutions, notices, and explanatory statements
  • Having worked on matters such as RPT, ESOP, Dividend disbursement, IEPF, Reg. 30 of SEBI LODR

4. Corporate Governance & Policies

  • Assist in implementation and monitoring of corporate governance frameworks
  • Update and maintain policies (e.g., Code of Conduct, Insider Trading Code, Archival Policy)
  • Website upkeep with respect to disclosures, announcements as per applicable laws
  • Support compliance certifications and corporate governance reporting

5. Insider Trading & Compliance Monitoring

  • Administer compliance under Insider Trading regulations, including maintenance of structured digital database
  • Monitor trading window closures and disclosures from designated persons
  • Ensure timely filings of PIT-related disclosures

6. Regulatory Liaison & Audit Support

  • Coordinate with regulators such as stock exchanges, depositories, RTA and other authorities
  • Support secretarial audits, internal audits, and regulatory inspections
  • Prepare and provide data/documents required by auditors and regulators

7. Corporate Actions & Secretarial Support

  • Assist in execution of corporate actions (e.g., dividend, bonus, rights issue, ESOP etc.)
  • Coordinate with RTA, depositories, and intermediaries
  • Support due diligence processes and documentation

8. Compliance Tracking & Advisory

  • Monitor changes in applicable laws and regulations and assess impact
  • Maintain compliance trackers and ensure timely closure of compliance requirements
  • Provide basic advisory support to internal teams on compliance matters

Qualifications & Experience

  • Qualified Company Secretary (Member of ICSI)
  • 5–7 years of post-qualification experience, with a top 750 listed company

Key Skills

  • Strong drafting and interpretation skills for legal/regulatory documents
  • High attention to detail and strong documentation skills
  • Basic understanding of financial data and acumen to read and analyse the same
  • Ability to manage multiple deadlines and stakeholders
  • Proactive and solution-oriented approach

Preferred

  • Hands-on experience with listing compliances and SEBI regulations
  • Familiarity with filing systems/ portals such as SCORES, ODR, NSDL/CDSL, NEAPS, BSE etc.
  • Prior experience of working on BRSR
  • CA/CMA/MBA full-time would be an added advantage
